Terms of Service

Please read these Terms carefully. They form a binding agreement between you and CareNook governing your use of the Service.
1. Agreement to terms
These Terms of Service ("Terms") govern your access to and use of CareNook's website and application (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization.
2. The Service
CareNook provides a sales and marketing CRM for home-care, home-health, and hospice agencies, including referral-source management, visit and referral tracking, analytics, routing, and AI-assisted features. We may update, improve, or change the Service over time.
3. Accounts
You must provide accurate information and keep your login credentials secure. You are responsible for activity under your account. Notify us promptly of any unauthorized use. Your organization's administrator may manage members and their access.
4. Subscriptions and billing
The Service is offered on a subscription basis with tiered plans priced per active rep, starting at $79 per rep per month (billed monthly, or at a discounted rate when billed annually), unless otherwise agreed. Agency plans are priced as a platform fee plus volume seats. New accounts include a 14-day free trial. After the trial, paid subscriptions renew automatically each billing period until cancelled.
Fees are billed in advance and are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice.
5. Acceptable use
You agree not to:
- Use the Service in violation of any law or third-party rights.
- Upload unlawful, infringing, or harmful content.
- Attempt to gain unauthorized access to the Service or other accounts.
- Interfere with or disrupt the integrity or performance of the Service.
- Reverse engineer or resell the Service except as permitted by law.
6. Your data
You retain ownership of the data you submit to the Service ("Customer Data"). You grant us a limited license to host, process, and use Customer Data solely to provide and improve the Service and as described in our Privacy Policy. You are responsible for the accuracy of Customer Data and for having the rights necessary to submit it. Where you process protected health information, our Business Associate Agreement governs that data.
7. AI features
Some features use AI to generate summaries, briefs, and suggestions. AI output may be inaccurate or incomplete and is provided to assist you, not to replace your professional judgment. You are responsible for reviewing AI output before relying on or acting on it.
8. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
9. Limitation of liability
To the maximum extent permitted by law, CareNook will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our total liability for any claim relating to the Service will not exceed the amounts you paid to us for the Service in the twelve months before the event giving rise to the claim.
10. Termination
You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access if you breach these Terms or if necessary to protect the Service or other users. Upon termination, your right to use the Service ends, and we will handle your data as described in our Privacy Policy.
11. Governing law
These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Any disputes will be subject to the exclusive jurisdiction of the state and federal courts located in Utah.
12. Changes and contact
We may update these Terms from time to time; material changes will be reflected by the date above and, where appropriate, communicated through the Service. Questions about these Terms can be sent to legal@carenook.app.
